Articles of agreement for the formation of a charitable Society under & by authority of an act of the State of Michigan entitled an act for the incorporation of Charitable Societies approved February 6th A.D. 1855.
Be it known that on this 27th day of April in the of our Lord one thousand eight hundred & Sixty four, the persons hereinafter named have agreed to organize a charitable society having a legal incorporation under the act of the People of the State of Michigan, the title of which act is above recited, said incorporation to hold money and property for the uses and purposes hereinafter expressed. And we do further agree that the following articles of agreement together with such by laws as may be legally adopted in accordance with these articles shall be for the government of said Society.
Article 1st The names of the persons associating for the purposes of this Society are Israel Cogshall, William H. Brockway, Alvin Billings, Myron A. Daugherty, Riley C. Crawford and Thomas H. Sinex of the town of Albion County of Calhoun, David Thomas of the town of Concord County of Jackson, Isaac Taylor of the town of Marengo County of Calhoun, Thomas H. Bignall of the town of Moscow County of Hillsdale, Daniel D. Gillett of the City of Marshall and Nelson L. Brockway of the town of Leroy County of Calhoun & Lewis J. Griffin of Springport Jackson County all of the State of Michigan.
Article 2nd This Society shall be known and called the Preachers Savings Fund Society of the Michigan Annual Conference of the Methodist Episcopal Church, and shall have its office for the transaction of business at Albion Calhoun County in the State of Michigan.
Article 3d [sic] This incorporation shall exist for the period of thirty years.
Article 4th The object of this Society shall be to receive money legacies gifts bequests Stocks bonds or any form or kind of securities or property, and hold the same for the benefit of the widows or children of deceased ministers, who shall be members of this Society, and who shall also be member of the Michigan Annual Conference of the Methodist Episcopal Church at the time of their death. And it may also hold the above described money or property or any part thereof for the benefit of such living minister members of the said Michigan Annual Conference and of this Society as in the judgment of the Society need pecuniary aid, provided that no part of the funds of this Society shall be applied to the relief of any living ministers until his case has been brought before the Society at its annual meeting.
Art. V The officers of this Society shall be a President, Vice President, Secretary & Treasurer & nine Trustees who shall be elected annually & shall hold their offices for one year & until their successors shall be duly chosen. The President & Vice President shall be as officers members of the board of Trustees & the Secretary & Treasurer shall be elected from said board of Trustees, all elections for officers shall be by ballot & by the Society & all officers shall be elected at the annual meeting except to fill vacancies, which shall be filled by the board of Trustees.
Art VI This Society shall hold its annual meeting on the Second day of the session of the Michigan Annual Conference in each year & at the place at which said Annual Conference is held & a majority of the members of the Society shall constitute a quorum for the transaction of any business at an Annual Meeting.
Art. VII Any person may become a member of this Society by the payment of five (5) dollars & signing these Articles of agreement & such membership may be continued from year to year by the payment of two dollars annually. But all membership shall deemed to have ceased & no person shall be allowed to vote or hold any office in said Society unless said annual payments are kept up.
Art. VIII The President shall preside at all meetings of the Society and shall perform all the duties usually belonging to his office and such other duties as these articles or the by laws ordain, and in his absence these duties shall devolve on the Vice President.
Art 9th The Secretary shall keep accurate minutes of all proceedings of the Society and cause the same to be recorded in a book provided for that purpose. He shall also receive all money paid into the funds of the Society enter the same in his records with sources from whence they came and shall pay all money or Securities over to the Treasurer immediately ______ his receipt for the same.
Act. 10th The Treasurer shall receive all money or property of the Society and hold the same subject to the order of the board of Trustees. He shall report annually the State of the Treasury or oftener if the board or the president shall so direct.
Art. 11th All monies paid into the funds of this Society (except the annall [sic] fee of two dollars each from the members) shall be funded under the direction of the board of trustees, and the said board shall have charge of all lands, tenements, stocks, bonds, mortgages, securities, or effects of any nature whatsoever and shall invest and cause the same to be paid out for the purposes of this Society provided the interest or profits accruing there___ only shall be used forever, and provided further that at the expiration of the time for which this society is organized it shall have proven to dispense of all funds and securities of every nature in such manner as they judge proper, the Trustees shall have no power to pay out money in violation of article four of these articles of agreement.
Art. 12, Whenever any member of this association who is also a member in good standing in the Michigan Annual Conference of the Methodist Episcopal Church shall die the trustees shall cause to be paid to the widow or minor children of said deceased minister a sum equal to one fifth of the profits and interests accruing from the use and employment of the funds of the Society and three fourths of the annual contributions of the members of the Society at the next ensuing annual meeting, provided that if two or more members as aforesaid shall die in the same year, then the percentage of the annual contributions above named shall be equally divided between the widows or minor children of said deceased ministers. And provided further that whenever the annual receipts of the Society accruing from the employment of its funds or property shall reach the sum of five thousand dollars then the payment provided for in this article shall be fixed at one thousand dollars and no more than one thousand dollars shall be paid to any widow or minor children as above provided without the consent of three fourths of all the members of the society, and no proposition for increased payment shall be considered or determined at any other than an annual meeting of the Society.
Art. 13th This Society shall hold the money commonly known as the Parkhurst fund and shall divide the interest thereof annually among the widows of deceased ministers of the Michigan Annual Conference according to the terms of the bequest and all special gifts, legacies, or bequests shall be samelly [sic] held and disbursed according to the terms or conditions thereof and neither the trustees or the Society shall have any power to alienate either the principal or interest or any part thereof from the purposes designed by the donors of said gifts, legacies or bequests.
Art. 14th These Articles of association may be altered or amended by a vote of three fourths of all the members of the Society at any annual meeting

Thomas, Isaac Taylor, J.H. Bignell, D.D. Gillett, N.L. Brockway and L.J. Griffin and acknowledged that they executed the foregoing articles of association as their free act and deed.
